Bill of lading

A bill of lading is a receipt for the goods, evidence of the contract of carriage, and a document of title. That third role is the one that matters commercially: whoever holds the original controls release of the cargo at the other end.

The essentials.

Three jobs at once
It records what the carrier received, evidences the terms of carriage, and transfers the right to take delivery.
Original or seaway
An original set is negotiable and has to be presented to take the goods. A seaway bill is not, and delivery goes to a named consignee without paper changing hands.
Telex release
The originals are surrendered at origin and the carrier authorises release at destination. Faster than couriering paper and only available once payment is settled.

Who asks for it.

This travels with the goods wherever they go. Either Indonesia requires it on the way out, or it is an ordinary trade document that any buyer, bank and carrier expects to see.

What it does not cover.

  • The carrier did not check your goods

    It says the carrier received a sealed container said to contain what the shipper declared. It is not an inspection and it is not evidence of quality or quantity inside the box.

  • It does not decide who owns the goods

    Title in the underlying sale passes under the contract of sale, not under the bill. The bill controls who can take physical delivery, which is a different question that usually matters more in practice.

Questions buyers ask.

Why do I have to wait for the original?

Because with an original bill the carrier will not release the cargo to anyone who cannot present it. This is a feature: it is what stops goods being collected before payment. Where payment is already settled, a telex release removes the wait.

What if the details are wrong?

Correct them before the vessel sails. Amendments afterwards cost money and time, and a bill that disagrees with the other documents in the set will stop a payment under a letter of credit.
